These Terms of Use (“Terms”) govern your access to and use of metathena.ai (the “Site”), operated by Metathena LLC (“Metathena,” “we,” “us,” or “our”).

By accessing or using the Site, you agree to these Terms. If you do not agree to these Terms, do not use the Site.

1. Purpose of the Site

The Site provides general information about Metathena, its technology, and products, applications, and experiences powered by or associated with Metathena.

Information presented on the Site is provided for informational purposes only. Nothing on the Site constitutes an offer to sell, a solicitation to purchase, or a commitment to provide any product, service, technology, beta program, capability, access right, or other commercial arrangement.

References to products, applications, capabilities, features, beta programs, or technologies under development do not constitute a representation or guarantee that any particular product, application, capability, feature, or technology will be released, made generally available, or offered on any particular terms or schedule.

Any access to or use of a separate Metathena product or application may be subject to additional or separate terms.

2. Beta and Pre-Release Offerings

The Site may reference products, applications, features, or experiences that are in beta, preview, testing, development, or otherwise not generally available.

An invitation to request, express interest in, or join beta access does not guarantee admission, availability, continued access, or access at any particular time.

Beta and pre-release offerings may be incomplete, modified, suspended, restricted, or discontinued. Features, functionality, design, availability, and other characteristics may change before or after general release.

Participation in a beta or other pre-release program may be subject to separate eligibility requirements, terms, privacy disclosures, confidentiality requirements, or other agreements.

3. Metathena and Compatiguru

The Site may describe or link to Compatiguru, an application powered by Metathena technology.

References to Compatiguru on the Site are intended to illustrate an application of Metathena technology and do not mean that the Metathena Site and the Compatiguru application constitute the same website, product, or service.

Access to or use of Compatiguru may be governed by separate terms of use, privacy policies, eligibility requirements, beta conditions, or other agreements applicable to Compatiguru.

Following a link from the Site, sending an email requesting beta access, or otherwise expressing interest in Compatiguru does not itself grant access to Compatiguru or create a contractual relationship with Metathena or any other party.

4. No Professional Advice

Information on the Site is provided for general informational purposes and does not constitute legal, medical, psychological, financial, relationship, professional, or other specialized advice.

Metathena technology, Compatiguru, and any descriptions of personalized intelligence, compatibility, context, relationships, or similar concepts presented on the Site should not be relied upon as a substitute for professional advice, independent judgment, or decisions appropriate to your particular circumstances.

5. Intellectual Property

The Site and its contents, including text, graphics, logos, names, designs, visual elements, interfaces, animations, concepts, organization, and other materials, are owned by or licensed to Metathena and are protected by applicable intellectual property and other laws.

Metathena, its associated names and marks, and other identifiers appearing on the Site are proprietary to Metathena or their respective owners, as applicable.

Metathena and its affiliates or licensors may own or control patents, patent applications, trade secrets, know-how, copyrights, trademarks, and other intellectual property relating to technologies, systems, methods, processes, models, software, products, applications, and services described or referenced on the Site.

Your access to the Site does not grant you any license or other right, whether express, implied, by estoppel, or otherwise, under any patent, patent application, copyright, trademark, trade secret, know-how, or other intellectual property right of Metathena, its affiliates, or its licensors.

No description of a product, capability, concept, function, model, experience, or potential application on the Site should be interpreted as granting a right to use, reproduce, implement, derive, reverse engineer, or commercially exploit any underlying technology or intellectual property.

6. Limited Permission to Use the Site

Subject to these Terms, Metathena grants you a limited, revocable, non-exclusive, non-transferable right to access and use the Site for lawful personal and informational purposes.

You may not, without Metathena’s prior written permission:

• reproduce, republish, distribute, modify, or create derivative works from substantial portions of the Site;
• use Site content to misrepresent an affiliation with, endorsement by, or relationship with Metathena;
• remove or alter copyright, trademark, proprietary, or other notices;
• use the Site or its contents in violation of applicable law or the rights of another person;
• attempt to gain unauthorized access to the Site, its infrastructure, systems, or non-public resources associated with it; or
• use automated means to access, scrape, extract, or collect Site content in a manner that materially interferes with the operation of the Site or violates applicable law.

Nothing in these Terms restricts rights that cannot lawfully be restricted.

7. No Rights in Metathena Technology or Products

Access to the Site does not provide access to, or any right to use, Metathena technology or any Metathena-powered product, application, model, platform, system, software, documentation, data, methodology, or service.

Descriptions of Metathena technology, Compatiguru, personalization, compatibility, contextual intelligence, or other capabilities on the Site are general descriptions only. They do not constitute technical specifications, warranties, performance commitments, service levels, or representations that any particular capability will be available to any particular person.

The availability, functionality, permitted use, eligibility, configuration, and contractual terms of any product, application, beta program, or service are determined by the terms applicable to that particular offering.

8. Confidential and Non-Public Information

The Site contains information Metathena has elected to make publicly available. Access to public Site content does not authorize access to or use of Metathena’s confidential, proprietary, or non-public information.

Information provided separately by Metathena in connection with demonstrations, beta programs, evaluations, discussions, presentations, proposed engagements, testing, or other activities may be subject to separate confidentiality obligations or agreements. These Terms do not supersede those obligations.

9. Communications with Metathena

The Site may provide email addresses, links, or other means of contacting Metathena or expressing interest in products or beta access.

Unless Metathena has separately agreed in writing to confidentiality, you should not assume that unsolicited information submitted through general website-related communications will be treated as confidential.

Do not send trade secrets, highly sensitive personal information, regulated information, passwords, credentials, financial account information, or other information requiring special protection through general website-related email addresses unless Metathena has expressly authorized that method of communication.

Communicating with Metathena through the Site or an email address displayed on the Site does not by itself create a contractual, advisory, fiduciary, professional, or other special relationship.

10. Accuracy and Changes

Metathena seeks to provide useful and accurate information, but information on the Site may be incomplete, become outdated, or contain errors.

Metathena may modify, remove, update, or discontinue Site content at any time without notice.

References to products, applications, technologies, features, capabilities, beta programs, potential uses, or future developments do not constitute a representation that Metathena currently offers, will offer, or will continue to offer any particular product, feature, capability, or service.

11. Third-Party and Separate Services

The Site may contain links to websites, applications, resources, or services operated by third parties or provided separately from the Metathena Site.

Metathena does not control and is not responsible for third-party websites, content, privacy practices, security, products, or services.

Separate applications or services referenced by or linked from the Site may be subject to their own terms, policies, and conditions. You should review the terms and policies applicable to any separate website, application, product, or service you use.

A link or reference does not imply endorsement, sponsorship, or affiliation except where expressly stated.

12. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

METATHENA DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, RELATING TO THE SITE OR ITS CONTENT, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

METATHENA DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM HARMFUL COMPONENTS, OR THAT INFORMATION ON THE SITE WILL AT ALL TIMES BE COMPLETE, ACCURATE, OR CURRENT.

Nothing in this section excludes warranties or rights that cannot lawfully be excluded.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, METATHENA AND ITS AFFILIATES, OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR ACCESS TO, USE OF, OR INABILITY TO USE THE SITE OR YOUR RELIANCE ON SITE CONTENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, METATHENA’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).

The limitations in this section apply regardless of the theory of liability and even if Metathena has been advised of the possibility of such damages.

Some jurisdictions do not permit certain exclusions or limitations of liability. In those jurisdictions, these provisions apply only to the maximum extent permitted by law.

14. Indemnification

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Metathena and its affiliates, officers, directors, members, employees, and agents from and against claims, liabilities, damages, losses, and reasonable costs and expenses arising from your material violation of these Terms, your unlawful use of the Site, or your infringement or violation of another person’s rights through your use of the Site.

15. Privacy

Your use of the Site is also subject to our Privacy Policy, which describes how information may be processed in connection with the Site.

Separate products, applications, or services may be subject to additional or different privacy policies applicable to those offerings.

16. Governing Law

These Terms and any dispute arising out of or relating to the Site or these Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles.

Subject to applicable law, any legal action or proceeding arising out of or relating to these Terms or the Site shall be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction and venue of those courts.

17. Changes to These Terms

Metathena may update these Terms from time to time.

When we make changes, we will revise the “Last updated” date at the top of this page. Your continued use of the Site after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by applicable law.

18. General

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions will remain in effect to the maximum extent permitted by applicable law.

Metathena’s failure to enforce a provision of these Terms does not waive its right to enforce that provision or any other provision.

These Terms constitute the agreement between you and Metathena concerning your use of the public Site, except to the extent another written agreement between you and Metathena expressly governs the matter at issue.
